Broadcom Acquires Sunext Design, Inc. for Optical Drive Technologies to Enable Single-Chip High Definition Blu-ray Disc® Players and Recorders

Broadcom Corporation (Nasdaq: BRCM), a global leader in semiconductors for wired and wireless communications, today announced that it has acquired Sunext Design, Inc. ("Sunext Design"), a wholly-owned U.S. subsidiary of Sunext Technology Company Limited ("Sunext Technology"), and has licensed certain optical disk reader and writer technology from Sunext Technology. Sunext Technology is a privately-held fabless semiconductor company that specializes in optical storage technologies.

High definition optical disc players are emerging as a popular platform for in-home entertainment worldwide by combining the benefits of a high definition viewing experience with the convenience and familiarity of DVD media. Sunext single-chip front-end technology is a strong complement to the industry-leading Broadcom® system-on-a-chip (SoC) back-end Blu-ray Disc® platform, and key to an integration roadmap that will drive the cost of these devices down to levels that enable widespread consumer adoption of high definition optical disc players and recorders.

With the increasing adoption of full high definition 1080p digital televisions, and with the consumer electronics and media industries now united behind the Blu-ray Disc high definition DVD standard, demand for these high definition players and recorders is expected to increase significantly. As the market grows, manufacturers will strive to reduce prices by adopting optimized SoC solutions that integrate front-end and back-end functions. Broadcom, a leader in integrating advanced functionality, is responding to this trend by acquiring rights to the most highly integrated optical disc front-end technology available. The addition of Sunext's leading technology, along with the experienced engineering team from Sunext Design that can continue to enhance those technologies, will enable Broadcom to derive significant time to market advantages in the development of these highly integrated solutions.

In connection with the transaction, which closed on Friday, February 29th, 2008, Broadcom will pay up to $48 million in cash in exchange for all of the outstanding shares of Sunext Design's capital stock and for the license rights granted by Sunext Technology. A portion of the consideration payable to the stockholders of Sunext Design will be placed into escrow pursuant to the terms of the acquisition agreement, and a substantial portion of the consideration payable to Sunext Technology for the license rights is subject to the achievement of certain deliverables post-closing. The boards of directors of both companies have approved the transaction. Broadcom may record a one-time charge for purchased in-process research and development expenses related to the acquisition in its first quarter. The amount of that charge, if any, has not yet been determined.

Broadcom Announces High Definition PVR Satellite System-on-a-Chip Solution for Direct Broadcast Satellite Set-Top Boxes

Broadcom Corporation (Nasdaq: BRCM), a global leader in semiconductors for wired and wireless communications, today announced a new single-chip, multi-format high definition (HD) satellite set-top box solution that enables manufacturers to develop low cost satellite set-top boxes (STBs) with personal video recorder (PVR) functionality.
The new Broadcom® satellite system-on-a-chip (SoC) is manufactured in 65 nanometer (nm) process technology that features the highest level of functionality, fully integrating a dual tuner/demodulator, and the latest generation of AVC (advanced video coding) decoder that supports multiple video formats. By reducing the number of components required to develop satellite set-top box products, Broadcom has reduced power consumption by more than 50% over competing solutions, lowering system bill of materials (BOM) cost while reducing the complexity and size of designing next generation satellite STBs with watch-and-record capabilities.

Announced today is the single-chip BCM7335 satellite SoC set-top box solution with PVR functionality that supports worldwide standards for direct broadcast satellite (DBS) set-top boxes based on DVB-S2, DVB-S and 8PSK, and is backward compatible with the DVB-S standards. Built around previous generations of Broadcom digital cable and satellite STB chips and technology, service providers that deploy set-top boxes designed around the BCM7335 can cost effectively provide their subscribers with advanced HD television viewing features, improved picture quality and PVR functionality.

Technical Information

The BCM7335 is Broadcom's next generation satellite set-top box system on a single chip manufactured in the 65nm process. It integrates a dual tuner/demodulator from the BCM4506 front-end device and the latest generation of AVC decoders that supports multiple video formats.

It operates on a dual-threaded MIPS® CPU core running at 450 MHz resulting in over 950 DMIPS in performance. The BCM7335 is designed to support UMA and non-UMA memory architectures, utilizing a 400-MHz clock, 32 + 16-bit wide double date rate (DDR2) memory interface for enhanced performance and allows cost effective memory implementations.

The BCM7335 supports several interfaces for TV output on-chip that is integrated on-chip including the HDMI, baseband composite, component or S-Video, and incorporates Broadcom's advanced 2D graphics engine that enables true studio-quality text and graphics, efficiently using its memory and bandwidth.

The BCM7335 is designed using the 65 nanometer process -- the most advanced lithographic node for manufacturing semiconductors in large volumes today that provides significant benefits over 90nm and 130nm processes by enabling lower power consumption, smaller size and higher levels of integration. For Broadcom, the move to 65 nanometer process technology is changing the competitive landscape because of the breadth and depth of the communications intellectual property the company possesses. Without a broad portfolio of market-leading solutions to integrate, competitors are not able to take full advantage of the benefits that these next generation processes provide.

Availability and Pricing

The BCM7335 high definition PVR satellite SoC is sampling to early access customers. Pricing is available upon request for manufacturers of satellite TV set-top boxes.

Broadcom also makes available to early access customers a fully supported reference design (BCM97335) that ensures cost efficient design and manufacturing, and faster time-to-market. The BCM97335 reference design is a development platform for set-top box design based on the BCM7335 and is available with complete software source code, schematics and Gerber files, and provides detailed design information for manufacturers of satellite TV set-top box terminals.

Broadcom to Acquire Global Locate, Inc., a Provider of Industry-Leading GPS Chips and Software

Broadcom Corporation (Nasdaq: BRCM), a global leader in semiconductors for wired and wireless communications, today announced that it has signed a definitive agreement to acquire Global Locate, Inc., a privately-held, fabless provider of industry-leading global positioning system (GPS) and assisted GPS (A-GPS) semiconductor products and software. GPS is expected to join Bluetooth® and similar wireless technologies as a pervasive feature in next generation mobile devices. Global Locate's semiconductor solutions are used in mobile phones from leading cellular handset makers and incorporated into products from TomTom NV, the largest personal navigation device (PND) vendor in the world.

GPS products and location based services (LBS) are increasing in popularity with consumers and cellular service providers as both take advantage of the ability to identify exact geographical location by means of faint radio signals transmitted from a system of orbiting satellites. Growing consumer interest in these applications is driving the GPS chip market, which is expected to grow to $1.07 billion annually by 2012 according to market research firm Forward Concepts. The latest generation of PNDs provides location, points of interest and turn-by-turn navigation, features that are attracting increasing adoption among consumers. Cellular service providers also plan to incorporate GPS chips in mobile phones to meet government regulations for emergency 911 calls and to increase their average revenue per user (ARPU) with location based services.

Broadcom expects the demand for GPS devices to increase dramatically as the deployment of GPS in mobile phones increases. Combining Global Locate's GPS technology with Broadcom's leading Bluetooth, Wi-Fi®, cellular and other mobile technologies will provide leading handset makers with wireless connectivity solutions that add significant value to feature and smart phone products.

Global Locate has focused on GPS chip and navigation technology since it was founded in 1999. The company is currently producing its third generation of GPS chips and has developed a worldwide GPS reference network that provides assistance data to its A-GPS-equipped chips via cellular data channels (GPRS or 3G), boosting performance and reducing the time required to determine a location by up to 100 times.

Product Details

Global Locate's solutions are ideal for high volume GPS-enabled products like PNDs and cellular phone handsets where navigation performance and high sensitivity needs are coupled with requirements for low power consumption and small form factors. While many existing GPS solutions consist of two separate chips, a separate baseband and radio, Global Locate has integrated both into a single-chip CMOS product.

Global Locate offers products specifically optimized to add GPS cost effectively as a feature in devices such as mobile phones. In cellular applications where a wireless network connection is available, Global Locate's products can also access assistance data to enable more rapid "time to fix" performance. For example, traditional GPS can take as long as several minutes to determine location in the best conditions, but with Global Locate's assistance data, that time can be reduced to just a few seconds.

The acquisition also includes Global Locate's innovative World Wide Reference Network (WWRN) providing real time A-GPS data as well as Long-Term Orbit (LTO) solutions to provide assistance even when a network connection is not available. Several carriers, including one of the most widely used A-GPS networks in North America, have adopted Global Locate's A-GPS server solution to provide location based services, which dramatically increases their revenue per usage metrics.

Broadcom's Wireless Connectivity Group has been one of the company's fastest growing businesses over the last three years. This growth has been driven by the adoption of Bluetooth in mobile phones, the proliferation of Wi-Fi technology in the home, and the expansion of Voice over IP (VoIP) services by telecommunications carriers. Broadcom anticipates that GPS will be a significant growth driver for its wireless connectivity business as GPS is adopted in mobile phones and other consumer devices.

Transaction Details

In connection with the acquisition, Broadcom expects to pay approximately $146 million net in cash at closing in exchange for all outstanding shares of capital stock and other rights of Global Locate. A portion of the consideration payable to the stockholders of Global Locate will be placed into escrow pursuant to the terms of the acquisition agreement. Additional consideration of up to $80 million in cash will be reserved for future payment to the former holders of Global Locate capital stock and other rights upon satisfaction of certain performance goals. The boards of directors of both companies have approved the merger. The closing, which is expected to occur during Broadcom's third quarter ending September 30, remains subject to customary closing conditions. Broadcom may record a one-time charge for purchased in-process research and development expenses when the closing occurs. The amount of that charge, if any, has not yet been determined.

BRCM: Broadcom Establishes Mobile Technology Leadership with World's First 65nm and Smallest EDGE Transceiver

Broadcom Corporation (Nasdaq: BRCM), a global leader in semiconductors for wired and wireless communications, today announced the industry's first 65 nanometer EDGE radio frequency (RF) transceiver. Designed as a monolithic die in pure digital CMOS process technology, this new Broadcom® device integrates all transceiver and analog baseband functionality to deliver unparalleled savings in power consumption, size and cost. Introduction of this product marks a significant milestone for the wireless industry, as Broadcom applies years of research and development and extensive expertise in CMOS radio devices to the cellular market to forge an integration path towards a monolithic EDGE system-on-a-chip (SoC) solution.

EDGE is currently operating on nearly 200 networks worldwide and represents the next step on the evolutionary path to third generation (3G) cellular services. With data rates up to three times the capacity of old GPRS networks, EDGE allows the delivery of advanced mobile services such as the downloading of video and music clips, full multimedia messaging, high-speed color Internet access and email on-the-go. According to the GSA (Global mobile Suppliers Association), most GPRS networks will convert to EDGE as part of the evolution to 3G, with 258 networks in 136 countries committed to deploying EDGE. Of those networks, 196 are commercial in 105 countries. According to market research firm iSupply, EDGE represents the single largest segment of the mobile phone market with 470 million units expected to ship in 2010. Additionally, market analysts expect the standalone RF transceiver market to approach $6 billion by 2010.

With a goal to capitalize on the widespread transition to EDGE networks, Broadcom today announces the BCM2085 EDGE cellular RF transceiver. This highly integrated single-chip solution is designed in a 65nm CMOS process that delivers the industry's lowest power consumption (helping to extend battery life), as well as the lowest bill of materials (BoM) cost. Combining low power, high integration and low cost, the BCM2085 is compatible with all DigRF-compliant basebands, enabling lower cost and reducing the RF board area by more than 50 percent for EDGE mobile devices.

Technical Information

The BCM2085 EDGE transceiver draws upon Broadcom's extensive experience in pure digital CMOS radio design to deliver outstanding RF performance while achieving both low cost and low power consumption. The highly integrated transceiver also includes the analog baseband and DigRF interface. A novel polar transmit architecture is employed to provide low transmit power, eliminate any filters in the transmit path and use standard linear power amplifiers readily available from multiple sources. The receiver is based on a proven low-IF architecture providing suppression of DC offsets, avoiding the issues related to direct conversion receivers and simplifying integration with basebands.

The transceiver also includes Broadcom's proprietary SmartRadio™ technology, which employs continuous real-time calibration techniques. SmartRadio delivers superior radio performance in a pure digital CMOS process without baseband intervention, enabling RF performance typically previously achieved only by radios that use more expensive specialty silicon processes. Broadcom's SmartRadio technology was originally developed and deployed in the company's Wi-Fi and Bluetooth radios, which have been field proven in hundreds of millions of transceivers for over 5 years. As a result, the BCM2085 will accelerate customers' time to market by simplifying design while ensuring a robust solution for manufacturing.

Availability

Samples of the quad-band Broadcom BCM2085 EDGE RF transceiver are available this month. Housed in a 4mm x 4mm BGA package, the BCM2085 is priced at $5.00 in volume quantities of 100,000 units or more.

BRCM: Broadcom Announces a Complete Portfolio of New Solutions for Bluetooth Wireless Headsets

Broadcom Corporation (Nasdaq: BRCM), a global leader in semiconductors for wired and wireless communications, today announced a new advanced silicon and software platform that significantly improves the user experience of wireless mono and stereo headsets. Based on Broadcom's field-proven Bluetooth® technology, the audio portfolio features two new single-chip solutions that support Bluetooth Version 2.0 with EDR (upgradeable to Bluetooth Version 2.1) and Broadcom's innovative SmartAudio™ sound enhancement technology. Targeting the greater than 80 million unit Bluetooth headset market(1), the new Broadcom® solutions enables the development of complete lines of high- and low-end headsets with sleek form factors, longer battery life and an improved audio experience.
"This new product targets the second largest application in the Bluetooth market and it provides an opportunity to drive further growth within this segment," said Celeste Crystal, Senior Research Analyst, Semiconductors at IDC. Previously existing Bluetooth headset silicon solutions suffered from inconsistent radio performance and inadequate power management, as well as excessive external circuitry and bulky batteries, while providing a disappointing audio experience (unless supplemented with complex and expensive external components). These limitations often resulted in unsatisfying headset size, weight, style and sound quality.

To address these shortcomings, Broadcom today announced its all-new Bluetooth audio portfolio that features two new chips optimized for high-end and basic headsets (the BCM2047 and BCM2044), its new SmartAudio voice clarity technology, and a specially tuned version of Broadcom's BTE Bluetooth software. Broadcom's mature Bluetooth technology has shipped in hundreds of millions of units and includes the highest performing radio and baseband technology, which resists interference from other devices and "blocking" by the human body that results in degraded radio performance. The power-efficient architecture extends talk and standby time and features many levels of software programmability with an ARM® architecture and tools to enable unique features for product differentiation.

Broadcom's BCM2047 includes the industry's most powerful multi-core architecture for Bluetooth audio products enabling premium headset products. This device features unparalleled integration to achieve a truly single-chip headset, featuring an integrated digital signal processor (DSP) for premium sound quality. The audio processing capabilities of the BCM2047 are powered by an ARM® AudioDE™ data engine - a high-performance, industry standard DSP. With sufficient performance to easily handle stereo and audio, compression algorithms (i.e. SBC, MP3 and AAC), the DSP architecture is optimized for Broadcom's SmartAudio technology to achieve superior voice quality delivering a superior user experience for headset prodcuts.

Cost-Optimized ROM-Based Alternative

For basic audio headsets that don't require extensive feature programmability, the BCM2044 is an ideal choice. This ROM-based, single-chip Bluetooth device includes many of the benefits of the BCM2047 at significantly lower cost. Jury Finds Broadcom Does Not Infringe 2 Qualcomm Patents,Recommends Findings That Qualcomm Engaged in Inequitable Conduct and Abused Industry Standard

Broadcom Corporation (Nasdaq: BRCM), a global leader in semiconductors for wired and wireless communications, announced that afternoon a federal jury in San Diego found that the company had not infringed two patents for digital video compression owned by Qualcomm Incorporated (Nasdaq: QCOM).
The nine member U.S. District Court jury reached its unanimous verdict after six hours of deliberation, rejecting Qualcomm's claims of infringement following a nine day trial that included testimony from multiple experts as well as the companies' chairmen, Broadcom co-founder Dr. Henry Samueli and Qualcomm co-founder Dr. Irwin Jacobs.

In addition to finding the two patents not infringed, in an advisory opinion to the presiding judge the jury found that Broadcom proved by clear and convincing evidence that Qualcomm knowingly violated a duty to disclose its patents to the Joint Video Team, or its parent organization, during the JVT's preparation and eventual adoption of the video compression industry standard known as the H.264 standard.

Additional evidence of Qualcomm's effort to unfairly leverage the H.264 standard emerged during trial, with testimony that the company requested a royalty for a single patent allegedly reading on H.264 that is twice the amount charged by the entire MPEG LA licensing organization for its pool of 160 essential patents -- and with Qualcomm's attempt to enjoin Broadcom's future sales of H.264-compliant products.

In a second advisory opinion to the judge, the jury found that Broadcom proved by clear and convincing evidence that Qualcomm committed inequitable conduct before the U.S. Patent and Trademark Office (USPTO) by breaching its duty of honesty and good faith in dealings with the USPTO.

"We are obviously very pleased and very grateful for this jury's diligence in working to arrive at the truth, even when presented with some very complex and intricate engineering testimony," said David A. Dull, Broadcom's Senior Vice President and General Counsel. "This is a victory not just for Broadcom but for the entire digital video community, against an attempt by Qualcomm once again to tax an important new technology -- in this instance based upon the claims of a single patent. The trial not only showed that Qualcomm was wrong about Broadcom's alleged infringement, but also cast a bright light on Qualcomm's penchant for abusing the rules and procedures of industry standards-making bodies."

Today's victory marks Broadcom's second consecutive win against Qualcomm involving intellectual property issues. Last fall, a United States International Trade Commission (ITC) judge ruled that Qualcomm's cellular baseband chips infringe five claims of a Broadcom patent. The full Commission affirmed that ruling in December and is now considering remedies against many Qualcomm products. The ITC action was the first of several patent disputes between the companies to go to trial.

Additional Patent Actions

Broadcom is now in the final stages of preparing additional cases that go to the heart of its patent infringement disputes with Qualcomm concerning cellular baseband chips. In March 2007, the U.S. District Court in San Diego is scheduled to try Broadcom's claims that Qualcomm infringes two Broadcom patents relating to Bluetooth® technology in cellular phones. Then in May 2007, the U.S. District Court in Santa Ana, Calif. is scheduled to try Broadcom's claims that Qualcomm infringes three additional Broadcom patents relating to cellular technology. Qualcomm and Broadcom have other, later-filed patent disputes pending in U.S. District Court in San Diego that are also expected to be tried this year. Following conclusion of the ITC proceeding, expected this March when the Commission is scheduled to rule on remedies for Qualcomm's infringement, Broadcom will also litigate in the Santa Ana court the same three patents that were tried last year in the ITC.

Altogether, Broadcom currently has infringement claims from 14 different Broadcom patents awaiting trial against Qualcomm.

Broadcom is a major technology innovator in the global communications industry, with over 1,900 issued U.S. and 750 issued foreign patents, about 5,900 additional pending patent applications, and one of the broadest intellectual property portfolios addressing both wired and wireless transmission of voice, video and data.

Antitrust Actions

Separately, in other actions, Broadcom has joined five other leading mobile wireless technology companies in filing complaints with the European Commission alleging that Qualcomm has engaged in anticompetitive conduct in the licensing of its patents and the sale of its chipsets for mobile wireless devices and systems. The six companies assert that Qualcomm is violating EU competition law and failing to meet the commitments it made to international standards bodies to license its technology on fair, reasonable and non-discriminatory terms. Broadcom and other wireless technology companies have filed similar complaints before the Korean Fair Trade Commission. Broadcom is also appealing last year's dismissal without prejudice of its federal antitrust lawsuit against Qualcomm. The dismissal, by a U.S. District Judge in New Jersey, was appealed to the U.S. Court of Appeals for the Third Circuit in September 2006. A number of standards development organizations, consumer advocacy groups, and other mobile wireless firms have filed amicus briefs with that court in support of the position that violations of industry standards-making processes can give rise to antitrust liability.

Broadcom Corporation (Nasdaq: BRCM) announced that the Nasdaq Listing Qualifications Panel has notified the company that it has regained compliance with the Nasdaq requirement relating to the filing of periodic reports with the SEC and has evidenced compliance with all other Nasdaq Marketplace Rules. Accordingly, the Panel determined to continue the listing of Broadcom's Class A common stock on the Nasdaq Global Select Market, and the review of the company's listing status has been closed.

BRCM: Broadcom's New Gigabit Switches with BroadShield Security Technology Aim to Reduce the Complexity of Implementing Secure Enterprise Networks

This latest generation of Broadcom® StrataXGS® III Gigabit Ethernet switches features new BroadShield™ security technology, which enables network admission control (NAC) and supports Microsoft's Network Access Protection policy enforcement technology to achieve dramatically improved network security and manageability when compared to existing solutions.
Network security is one of the top concerns for enterprise IT network managers, given the prevalence of hacking, malware and inside security threats, as well as, the need to comply with government regulations. It is a challenge to implement security profiles for one user, let alone an enterprise network with hundreds, or thousands, of users. Additionally, IT professionals prefer standards-based solutions (versus proprietary solutions) to ensure interoperability between multiple hardware and software vendors.
